MINUTES
1. Call to Order
The Emergency Special Meeting of the Board of Directors of Avila South Condominium Association, Inc. was called to order at approximately 6:30 PM.
2. Proof of Notice
Management confirmed that the Emergency Meeting Notice was posted at the property on March 31, 2026.
3. Roll Call / Establishment of Quorum
Board members present included:
- Nilda Rodriguez — President
- Gerald Zacker — Vice President
- Nelida Correa — Treasurer (over the phone)
- Boris Dobrivker — Secretary
- Alex “Arkady” Teplitsky — Director
- Manuel Jane — Director (not present)
- Rosendo E. Prieto — Director (not present)
A quorum was established.
Also present:
- Cedric Rose, Property Manager, Management 305 LLC
4. Purpose of Emergency Meeting
Management explained that the purpose of the emergency meeting was to address the immediate need to avoid interruption in trash removal services effective April 1, 2026.
Management reported that:
- Waste Connections, through Association legal counsel, agreed to allow the Association to terminate the contract early without liquidated damages.
- A replacement proposal had been obtained from Tropical Sanitation, who confirmed they could begin service on April 1, 2026.
- The new proposal included properly sized containers and reflected a significantly lower monthly cost to the Association.
Management further advised the Board that the new proposal would reduce the Association’s waste service expense by approximately $2,600.00 per month, representing significant annual savings.
5. Board Discussion / Approval of Replacement Vendor
The proposed replacement waste service contract with Tropical Sanitation was presented to the Board for review.
Following discussion, the Board approved moving forward with:
- the early termination of Waste Connections, and
- the approval of Tropical Sanitation as the Association’s new waste management provider effective April 1, 2026.
Management was authorized to proceed with the transition and coordinate implementation of the new service.
6. Additional Comments
Management advised that this emergency meeting was limited strictly to the urgent waste service issue and that any unrelated matters would be addressed at a future properly noticed board meeting.
7. Adjournment
There being no further business related to the emergency agenda, the meeting was adjourned.
